VibeFights (Mavpa, Inc.)

1. Introduction

These Terms of Service ("Terms") govern your use of the VibeFights platform (Mavpa, Inc.), including its website, mobile application, and any services provided by VibeFights (collectively, the “Platform”). By using the Platform, you agree to be legally bound by these Terms.

VibeFights (Mavpa, Inc.) provides tools for creators ("Creators") to launch limited-run video series and optionally issue utility tokens known as Placement Tokens. These tokens may allow holders to request brand integrations or advertising moments in future content, under terms solely defined by the issuing Creator.

2. Platform Purpose and Disclaimer

VibeFights provides technical infrastructure for interacting with web3-based experiences. We do not issue, control, endorse, or promote any tokens launched on the Platform. Specifically:

Placement Tokens are utility tokens created and distributed by Creators.
VibeFights is not a broker, dealer, exchange, financial advisor, or underwriter.
Use of the Platform is at your own risk.

3. Placement Tokens

3.1 Nature of Placement Tokens

Placement Tokens are non-financial, utility-only digital assets launched by Creators to give token holders the opportunity to request brand integrations, product placements, or advertising moments in future shows or series ("Shows").

3.2 No Investment Intent

By using or acquiring a Placement Token, you expressly acknowledge that:

It is not a security.
It does not represent ownership, equity, profits, dividends, or voting rights.
It has no intrinsic financial value or expectation of resale profit.
You are not relying on VibeFights or the Creator for financial return.

4. Creator Responsibility

Creators are solely responsible for:

Configuring their Placement Token, including supply and rules.
Making all legal and marketing disclosures.
Ensuring compliance with applicable securities laws and advertising guidelines.

If a Creator markets a Placement Token as a financial instrument or in any way that implies investment potential, VibeFights assumes no liability for such misrepresentation. All legal, regulatory, and financial responsibility rests with the Creator.

VibeFights may suspend or remove any token, Creator, or Show from the Platform if we believe there is a legal or reputational risk.

5. User Eligibility and Conduct

By using VibeFights, you confirm that you:

Are at least 18 years old.
Are not located in or a resident of any jurisdiction subject to U.S., UK, or EU sanctions.
Are not on any government sanctions list.
Will not use the Platform for illegal, abusive, or fraudulent purposes.
Will not interfere with Platform operations or other users.

5.1 Prohibited Countries

The Platform is not available to residents of the following countries and territories:

We reserve the right to choose markets and jurisdictions to conduct business and may restrict or refuse access to the Platform in other countries or regions at our sole discretion. This list may be updated from time to time to reflect changes in legal requirements or our business decisions.

6. Wallet Connections

The Platform supports connections to self-custodial wallets for interacting with Placement Tokens. You are solely responsible for:

Securing your private keys.
Managing your assets and transactions.
Ensuring accuracy in all wallet-based actions.

VibeFights never takes custody of user funds and has no access to wallet content.

7. Platform Access & Changes

We may at any time:

Modify or remove features.
Disable access for users violating these Terms.
Limit access in specific geographies or networks.

We are not liable for any downtime, bugs, or third-party service issues.

8. No Financial Advice

Nothing on the Platform constitutes legal, financial, tax, or investment advice. We encourage you to consult professional advisors before engaging with any Creator, token, or opportunity presented on VibeFights.

9. Fees and Transactions

VibeFights may collect protocol or platform fees as described in each Show or Creator's token configuration. Additional fees may apply from network gas costs, third-party wallet providers, or liquidity infrastructure.

All transactions are final and irreversible.

10. Intellectual Property

All rights in the Platform’s code, brand, and interfaces remain with VibeFights. Users may not:

Reverse-engineer or scrape the Platform.
Use the VibeFights name or logo without written consent.
Reuse content unless expressly authorized.

Creators retain rights to their original content and Shows.

11. Risks

By using VibeFights, you understand and accept the risks of:

Permanent loss of tokens or funds due to user error or compromised wallets.
Market volatility, gas fees, or network outages.
Creator abandonment or changes in project direction.
Regulatory developments impacting digital assets.

12. Termination

We may suspend or terminate your access to the Platform at any time, for any reason, including violations of these Terms. Termination does not limit our legal rights.

13. Indemnity

You agree to defend, indemnify, and hold harmless VibeFights and its team from all claims, liabilities, losses, and expenses (including legal fees) arising from:

Your use of the Platform.
Your interaction with Placement Tokens.
Your violation of these Terms.
Any claim related to content you submit or promote.

14. Disclaimers

The Platform is provided “as is” and “as available.” We make no warranties of any kind, whether express or implied. VibeFights disclaims all liability for:

Smart contract bugs or exploits.
Token mismanagement by Creators.
User errors or misinterpretations.
Third-party services linked to the Platform.

15. Limitation of Liability

To the fullest extent permitted by law, VibeFights shall not be liable for:

Loss of profits, revenue, or data.
Business interruption or reputational harm.
Any indirect, incidental, or consequential damages.

Our total liability shall not exceed $100 USD.

16. Governing Law

These Terms are governed by the laws of the jurisdiction in which VibeFights is legally domiciled. Any dispute must be resolved through binding arbitration or, where not allowed, in courts located in that jurisdiction.

17. Updates

We may update these Terms at any time. Continued use of the Platform after updates means you accept the new Terms. We will notify users of material changes via the Platform or email, where applicable.
